PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY.

This Terms of Use Agreement (the "Agreement") describes the terms and conditions applicable to your use of the CEOexcange Group web site which is identified by the uniform resource locator www.ceoexgroup.com (the "Site"). This Agreement is entered into between you as the user of the Site (the "User") and CEOexchange group ("CEOEX"). 

1. APPLICATION OF AND ACCEPTANCE OF TERMS AND CONDITIONS. 
    

1.1  This agreement identifies a “User” as any person who accesses the Site for whatever purpose, regardless of whether said User has registered with CEOEX as a registered User or whether said User is a paying customer for a specific service provided by CEOEX. A User includes the person using this Site and any legal entity which may be represented by such person under actual or apparent authority. 

By accessing or using the Site, you hereby agree to accept the terms and conditions set forth in this Agreement as a User.  
You shall be bound by the terms and conditions of this Agreement with respect to your access or use of this Site and any further upgrade, modification, addition or change to this Site. If you do not accept all of the terms and conditions of this Agreement, please do not use this Site.

1.2  CEOEX may amend this Agreement at any time by posting the amended and restated Agreement on the Site.  
The amended and restated Agreement shall be effective immediately upon posting.  
This Agreement was last amended on May 3, 2007. Posting by CEOEX of the amended and restated Agreement and your continued use of the Service shall be deemed to be acceptance of the amended terms. Also, the amended and restated Service will be applied retroactively to our Members.  
This Agreement may not otherwise be modified, except in writing by an authorized officer of CEOEX 
 
 

2.  USERS GENERALLY 

2.1  This site shall be used only for personal and internal purposes. Each User agrees that they shall not copy, reproduce or download any information, text, images, video clips, directories, files, databases or listings available on or through the Site for the purpose of re-selling or re-distributing, mass mailing, operate a business that competes with CEOEX , or otherwise commercially exploiting the CEOEX Content. Systematic retrieval of CEOEX Content from this Site to create or compile, directly or indirectly, a collection, compilation, database or directory (whether through robots, spiders, automatic devices or manual processes) without written permission from CEOEX is illegal and prohibited.  

2.2  The fundamental nature of CEOEX is to exclude all intermediaries. Therefore no third parties users will be allowed. CEOEX can at any moment and with no previous notification REVOKE any user if CEOEX determines the user was a third party. The user will be withdrawn from CEOEX even if they had acquired membership.

2.3  No User shall undertake any scheme to undermine the integrity of the computer systems or networks used by CEOEX and/or any other User and no User shall attempt to gain unauthorized access to such computer systems or networks.

2.4  We insist that you read CEOEX Privacy Policy which oversees the protection and use of each User's information in CEOEX possession. Each User hereby accepts the Privacy Policy and any updates and amendments thereto. Each User acknowledges that CEOEX may change the Privacy Policy from time to time provided that CEOEX shall make available the updated version of the Privacy Policy on the Site at all times. If you continuo to use the site it is automatically assumed that you accept the Privacy Policy

3. REGISTERED USERS

3.1  Each User who has filled out an on-line registration form on the Site by giving its information (such as name, address, telephone and fax number, email address, details of its business, etc.) is a registered user of CEOEX. This information is analyzed by a CEOEX verification staff, to confirm its authenticity.

Each registered user then chooses their USER ID and PASSWORD for log-in access to its own Account. 

3.2  If the USER represents a business entity additional information may be required  as the USER has to prove that it has the authority to bind this company to this agreement, the registered address should be the headquarter of the entity, and only one account should be admitted by Company &/or User.  

3.3  The Registered User shall not use the Account for junk mail, chain letters or spamming or the transmission of any unlawful, harassing, libelous, abusive, threatening, harmful, vulgar, obscene or otherwise objectionable material or any kind or nature. 
Further, the Registered User shall not use the Account to publish, distribute, transmit or circulate any unsolicited advertising or promotional information or any content that is obscene, indecent, seditious, offensive, defamatory, threatening, or which incites or results in causing racial hatred, discrimination, menace or breach of confidence.  
 

4.  USERS WHO POST INFORMATION ON CEOEX 

4.1 To post information on CEOEX, you must become a member through our certification system and follow step by step the registration form. 

4.2  Each Registered Member is committed to provide real, update and reliable information. This information shall be checked and verified by CEOEX then, it can be posted. CEOEX protects the identity of suppliers and buyers they will only be disclosed at the appropriate moment, after a Non disclosure Agreement is signed by both parties. 

4.3  USERS do post offers themselves; CEOEX submits the offers with the specifications given by the USERS. 

4.4  CEOEX is not responsible for the quality or the truthfulness of the USER information. CEOEX applies strict verification Process to avoid any fake USERS and trading Leads, but is not responsible for those who filter in.  

4.5  A) Ceo trade Pass certification. It is a certificate given to CEOEX users that according to CEOEX perception fulfill the company verification process.

      B) Ceo Q & C verifications: is given to the user who has a CEO PASS and further more who’s international Commerce documents are real, confirmed and verified by CEOEX.  

4.6  CEOEX certifications do not have any legal value. They are not registered in any legislation. They are only a verification given by CEOEX in accordance to the criteria CEOEX defines as adequate for the type of negotiation. Therefore CEOEX can not be held responsible for its content.  

4.9  CEOEX can not be held responsible for any consequences that may derive from the un fulfillment of the clause which conform the contracts between USERS. 

4.5  in case of a dispute between USERS CEOEX is relieved of all liability costs or indemnification. CEOEX employees, directors and members can not be held responsible for any damages.  

5.  PROPERTY RIGHTS  

5.1  CEOpass, Q & C, CEOexchange group and related icons, or logos of CEOEX are registered trademarks or service marks in various jurisdictions and are protected under applicable copyright, trademark and other proprietary rights laws. The unauthorized copying, modification, use or publication of these marks is strictly prohibited.   

5.2  CEOEX under no circumstances is obligated to disclose any information which could identify a USER. 

5.3  The user accepts and allows the obtained information for its study to be confirmed, tested and compared by the means of usual verification such as mails, letters, phone calls or even personal visits. 

5.4  under no circumstances Will there be any telephone contact with the USER without previous notification by email. 

5.5  The use of the password is completely personal, please do not reveal it, nor information that may show your name, please make sure of signing out every time you leave your computer to avoid failures.
